According to Minnesota State Statute 5.36, Subd. 2, a business entity formed under the laws of Minnesota may designate a registered agent in its formation document.

Corporations formed in Minnesota and registered with the Minnesota Secretary of State are NOT REQUIRED to name a registered agent in the articles of incorporation.

If a corporation does name an agent, the articles must list the name of the agent, and the agent must be located at the registered office.

According to the Minnesota Secretary of State's website, they will accept and forward service of process for both domestic and foreign companies when service cannot be made at their registered office address.

  • 1. If the company is filed with their office, but could not be served at its registered office address, the document may be served upon their office by submitting: two copies of the document to be served; an "Affidavit of Not Found" showing that service was attempted at the registered office address; and the applicable filing fee.
  • 2. When a company cannot be served due to the fact that it is not on file with their office, the document may be served upon their office by submitting: two copies of the document to be served; an address must be provided where service of process can be mailed; and the applicable filing fee.

Filing fee for service of process on a corporation through the Minnesota Secretary of State

  • $50.00 for Foreign Corporations, and $35.00 for Minnesota Corporations, as well as all other entity types, if submitted by mail.
  • $70.00 for Foreign Corporations, and $55.00 for Minnesota Corporations, as well as all other entity types, for expedited service in-person.
